The deposit will be paid in 15 days after the contract is signed by T/T. The seller applies for the opening of a bank guarantee at the Swiss bank. The amount of the guarantee is equal to the amount of advance payment and the beneficiary is the buyer. If the seller breaks the contract unilaterally, the buyer shall provide the relevant evidence to the bank for compensation. 13.2 余款的付款方式：信用證 買方須于2017年 6月30日前通過中國工商銀行開出以賣方為受益人的總金額為600萬美元的不可撤消的90天遠期信用證，并注明在上述裝運日期后30天內(nèi)在瑞士議付有效，信用證須注明合同編號。 Payment Terms of the Balance： L/C The buyers shall issue an irrevocable L/C at 90 days sight through The ICBC Bank of China in favor of the sellers for USD 6,000,000.00 prior to 30th June,2017 indicating L/C shall be valid in through negotiation within 30 day after the shipment effected, the L/C must mention the Contract Number. 13.3 賣方接受分期付款，3年期，等額支付，年利率為0%，具體還款日期見匯票。即信用證下包括3張匯票，一張金額為200萬美元的即期匯票和兩張金額都為200萬美元的遠期匯票。 The seller accepts the installment payment, for 3 years ， 0 % annual interest rate and payment in equal, and the date of repayment is shown in the bill of exchange. Under the letter of credit, including three drafts, a sight draft of USD 2,000,000 and two usance drafts both of USD 2,000,000 14 單據(jù)：Documents： 賣方應(yīng)將下列單據(jù)提交銀行議付。 The sellers shall present the following documents required for negotiation to the banks. 1.整套正本清潔提單。 Full set of clean on Board Ocean Bills of Lading. 2.商業(yè)發(fā)票一式3份。 Signed commercial invoice in 3 copies. 3.裝箱單或重量單一式 3份。 Packing list/weight memo in 3 copies. 4.保險單一式3 份。 Insurance policy in 3 copies. 5.由相關(guān)檢驗機構(gòu)簽發(fā)的質(zhì)量與數(shù)量證明書一式3 份。 Certificate of quantity and quality in 3 copies issued by Inspection . 15 裝運條件：不允許轉(zhuǎn)運與分批裝運 Terms of Shipment：Transshipment or Partial shipments not allowed 16.裝運通知： 一旦裝運完畢，賣方應(yīng)即電告買方合同號、商品號、已裝載數(shù)量、發(fā)票總金額、毛重、運輸工具名稱及啟運日期等。 Shipping advice : The sellers shall immediately, upon the completion of the loading of the goods, advise the buyers of the Contract No, names of commodity, loaded quantity, invoice values, gross weight, names of vessel and shipment date by TLX/FAX. 16 品質(zhì)與數(shù)量、重量的異義與索賠：Quality/Quantity Discrepancy and Claim： 16.1.賣方在發(fā)貨前由瑞士相關(guān)檢驗機構(gòu)對貨物的品質(zhì)、規(guī)格和數(shù)量進行檢驗，并出具檢驗證明書。 The buyers shall have the qualities, specifications, quantities of the goods carefully inspected by the Inspection Authority of Switzerland, which shall issue Inspection Certificate before shipment. 16.2.貨物到達目的口岸后，買方可委托當?shù)氐纳唐窓z驗機構(gòu)對貨物進行復(fù)檢。如果發(fā)現(xiàn)貨物有損壞、殘缺或規(guī)格、數(shù)量與合同規(guī)定不符，買方須于貨到目的口岸的 15天內(nèi)憑 檢驗機構(gòu)出具的檢驗證明書向賣方索賠。 The buyers have right to have the goods inspected by the local commodity inspection authority after the arrival of the goods at the port of destination if the goods are found damaged/short/their specifications and quantities not in compliance with that specified in the contract, the buyers shall lodge claims against the sellers based on the Inspection Certificate issued by the Commodity Inspection Authority within 15 days after the goods arrival at the destination. 16.3.如買方提出索賠，凡屬品質(zhì)異議須于貨到目的口岸之起 15天內(nèi)提出；凡屬數(shù)量異議須于貨到目的口岸之日起7天內(nèi)提出。對貨物所提任何異議應(yīng)由保險公司、運輸公司或郵遞機構(gòu)負責的，賣方不負任何責任。 The claims, if any regarding to the quality of the goods, shall be lodged within 15 days after arrival of the goods at the destination, if any regarding to the quantities of the goods, shall be lodged within 7 days after arrival of the goods at the destination. The sellers shall not take any responsibility if any claims concerning the shipping goods is up to the responsibility of Insurance Company/Transportation Company/Post Office. 17.設(shè)備安裝與技術(shù)支持 賣方將幫助買方進行設(shè)備安裝與調(diào)試，并提供使買方正確使用、調(diào)試和維修的技術(shù)資料（不包括制造用圖紙）。 Equipment installation and technical support The seller shall assist the buyer in the installation and commissioning of equipment and provide technical information for the correct use, commissioning and maintenance of the buyer ( excluding the drawings for manufacturing ). 18. 人力不可抗拒因素： 由于水災(zāi)、火災(zāi)、地震、干旱、戰(zhàn)爭或協(xié)議一方無法預(yù)見、控制、避免和克服的其他事件導致不能或暫時不能全部或部分履行本協(xié)議，該方不負責任。但是，受不可抗力事件影響的一方須盡快將發(fā)生的事件通知另一方，并在不可抗力事件發(fā)生15天內(nèi)將有關(guān)機構(gòu)出具的不可抗力事件的證明寄交對方。 Force majeure： Either party shall not be held responsible for failure or delay to perform all or any part of this agreement due to flood, fire, earthquake, drought, war or any other events which could not be predicted, controlled, avoided or overcome by the relative party. However, the party affected by the event of Force majeure shall inform the other party of its occurrence in writing as soon as possible and thereafter send a certificate of the event issued by the relevant authorities to the other party within 15 days after its occurrence. 19. 仲裁： 在履行協(xié)議過程中，如產(chǎn)生爭議，雙方應(yīng)友好協(xié)商解決。若通過友好協(xié)商未能達成協(xié)議，則提交中國國際貿(mào)易促進委員會對外貿(mào)易仲裁委員會，根據(jù)該會仲裁程序暫行規(guī)定進行仲裁。該委員會決定是終局的，對雙方均有約束力。仲裁費用，除另有規(guī)定外，由敗訴一方負擔。 Arbitration All disputes arising from the execution of this agreement shall be settled through friendly consultations. In case no settlement can be reached, the case in dispute shall then be submitted to the Foreign Trad Arbitration Commission of the China Council for the Promotion of International Trade for Arbitration in accordance with its Provisional Rules of Procedure. The decision made by this commission shall be regarded as final and binding upon both parties. Arbitration fees shall be borne by the losing party, unless otherwise awarded. 20. 文字Versions : 本合同中、英兩種文字具有同等法律效力，在文字解釋上，若有異議，以中文解釋為準。 This contract is made out in both Chinese and English of which version is equally effective. Conflicts between these two languages arising therefrom, if any, shall be subject to Chinese version. 21.備注： 買方負責信用證開立與修改的所有銀行費用。 進口報關(guān)手續(xù)由買方負責。 Remark： The buyer is responsible for all bank charges for opening and modifying of the L / C.
